About the Role

Requirements
Key Responsibilities
● Investment Due Diligence: Assist the investment team in reviewing the legal health of prospective portfolio companies. This includes auditing cap tables, articles of incorporation, IP assignments, and material contracts.
● Compliance & Regulatory Filings: Assist with the formation of new legal entities and ensure ongoing compliance with SEC (Form ADV) and other regulatory requirements. Monitor and maintain "notice filings" across various jurisdictions.
● Fund Administration: Organize and maintain legal documents for our corporate VC funds, including Limited Partnership Agreements (LPAs), subscription documents, and side letters.
● Contract Management: Draft and review non-disclosure agreements (NDAs), service provider contracts, and sponsorship agreements for the Startup World Cup.
● Risk Mitigation: Identify potential legal risks in investment terms and ensure that deal structures safeguard the firm’s and our corporate partners' interests.
● International Coordination: Work with external counsel in multiple countries (e.g., Japan, Europe, SE Asia) to coordinate localized legal reviews for global investments.
Qualifications
● Education: Bachelor’s degree in Legal Studies, Political Science, Finance, or a related field. A Master’s degree or J.D. (Juris Doctor) is a plus but not required.
● Experience: 1+ years of experience in a legal or compliance role. Experience within Venture Capital, Private Equity, or a Corporate Law Firm is a plus.
● Technical Skills: Proficiency in legal research databases, document management systems, and Microsoft Office (Excel/Word). Experience with Pop Legal or similar administrative platforms is a plus.
● Analytical Rigor: Exceptional attention to detail, specifically the ability to spot inconsistencies in dense legal documentation.
● Communication: Ability to translate complex legal "jargon" into actionable advice for the investment and business development teams.
● Integrity: Absolute discretion and the ability to handle highly sensitive financial and personal information.
